Abstract: The paper reviews the theoretical and empirical literature on corporate governance of banks on emerging markets. The aim is to combine various aspects influencing the governance structures into a simple model framework. Such a framework is useful to highlight (i) some inherent incentives for rent-seeking (redistribution) and (ii) means of constraining these incentives. The paper also covers some specifics of bank governance structures as compared to standard firms. The quality of institutions has proven to be an important factor for corporate structures in transitive economies, thus I discuss them explicitly within the structural model. The paper provides broad framework for compilation of case- and comparative studies on banks in transition.
