Abstract: This paper summarizes the development of minority shareholders protection in the Czech Commercial Code and the development of economic subjects behaviour since 1989. The development is divided into periods of same characteristics. Significant Commercial Code amendments define begining of each phase.
The paper analyses legislation in every period. Its main flaws and problems are shown on cases that arose in practice. At the same time the paper tries to explain why the practice and the aims of lawmaking body often diverged. In order to reach comprehensivness the main judgements concerning shareholders protection are mentioned.
The overall aim is to show how the position and behaviour of minority shareholders has changed and to determine causes and incentives standing behind.
